AUSTIN, Texas — On Thursday, Nov. 5, 2026, Phased-array communications developer CesiumAstro has secured $730 million in a Series D funding round at a valuation exceeding $4.5 billion to transition into a commercial constellation operator, reported.

The capital round includes $630 million in equity led by Janus Henderson alongside $100 million in debt financing provided by J.P. Morgan and the Export-Import Bank of the United States (EXIM).
Transition to Constellation Operator and Capital Precedents
The Series D financing supports CesiumAstro’s strategic pivot from supplying communications payloads to developing and operating its own orbital network. The investment builds upon an earlier $470 million funding milestone backed by EXIM’s “Make More in America” initiative to establish a dedicated phased-array manufacturing complex in Texas. Proceeds will fund the physical buildout and mass production lines needed to support end-to-end flight vehicle integration.
Synchronicity Constellation Architecture and Orbital AI Specs
Capital from the round directly funds Synchronicity, a planned 737-satellite constellation engineered to deliver flexible communications services to commercial, sovereign, and defense users:
- Multi-Band Frequency Coverage: Operates across Ku-band, Ka-band, and V-band spectrum to support high-throughput terrestrial and inter-satellite links.
- Autonomous Resource Allocation: Integrates onboard artificial intelligence (AI) to route beams dynamically and allocate bandwidth in real time based on active network demand.
The architecture expands upon the company’s Element satellite platform. The initial Element-1 precursor satellite launched in October to validate the core radio frequency payload and processing architecture in orbit.
Deployment Schedule and Operational Scaling
With the closing of the Series D round, CesiumAstro will accelerate payload manufacturing, regulatory filings, and constellation assembly at its Austin production complex. Flight hardware deliveries and orbital launches for the Synchronicity network are
